SATURDAY NIGHT CRUISERS CAR CLUB

By Laws

Article 1: Name
The name of the organization shall be the Saturday Night Cruisers Car Club.

Article 2: Purpose/ Mission Statement
The Saturday Night Cruisers Car Club purpose shall be social in nature in order to help fellow car enthusiasts become better acquainted with each other and the automotive events around the area.

Article 3: Membership and Dues
Section 1: Membership is open to persons interested in the automotive hobby and is not restricted by race, sex, or national origin. Eligibility for initial membership is open to adults 16 years of age (parental consent needed if under 18) and older. This membership allows the adults recorded on the membership application the ability to vote on club issues and officers.

Section 2: Annual dues shall be payable in advance of the beginning of the membership year, which starts May 1st and ends on April 30th of the following year. Annual dues are due May 1st. A 30 day grace period will be allowed and after such time all club privileges and mailings will be discontinued until dues are submitted.

Section 3: All moneys collected by the membership, including dues are collected by the secretary and turned over to the Treasurer.

Section 4: Members must abide by the rules of the road as determined by Minnesota State, Federal and local laws when attending any club function. Members are to preserve the reputation of the Saturday Night Cruisers Car Club.

Article 4: Board of Directors
Section 1: The Board of Directors shall be the Governing body of the club.

Section 2: The Board of Directors authenticates all legally binding actions of the club.

Section 3: The Board of Directors shall consist of five members, including the Past President and the Show of Wheels Chairman.

Section 4: Board terms are 3 years.

Article 5: Officers
Section 1: Officers shall be: President, Vice President, Secretary, Treasurer, Sergeant of Arms and Historian. They shall be identified as the officers.

Section 2: Candidates for officers will be nominated at the November meeting by the general membership and elected at the December meeting, at which time all documents and club materials will be transferred to the new officers from the outgoing officers. The outgoing officers will assist when requested by the new officers. Officers may succeed themselves if re-elected by the membership.

Section 3: All officers are exempt from dues for their term.

Section 4: The Board of Directors shall be final authority in all matters pertaining to the interpretation of the By Laws.

Article 6: Meetings
Section 1: Unless ordered by the Board of Directors or by the general membership, regular meetings of the club will be held monthly.

Section 2: Regular meetings will follow the following format:
  • Call to order
  • Roll Call
  • Treasurers Report
  • Reading of previous meeting minutes
  • Old business
  • New business
  • Activities report
  • Committee reports
  • Adjourn

Section 3: The rules contained in the current edition of Robert’s Rules of Order shall govern the club in all cases to which they are applicable.

Article 7: Standing Committees

Section 1: Show of Wheels will maintain a Chairperson to manage and direct the car show.

Section 2: Saturday Night Cruisers Treasurer will act as the Show of Wheels Treasurer.

Section 3: The Show of Wheels will be governed by the rules of the Show of Wheels.

Article 8: Duties of Officers
President:
  • Presides at all regular and special club meetings.
  • Appoints special committees as are necessary to carry out club events.
  • Shall be empowered to sign checks in the Treasurers absence.
  • Provides for an annual audit of books by appointing a committee of two people from the general membership.
  • To see that each member receives a current and updated copy of the By Laws.

Vice President:
  • Acts for the President in his/her absence or disability.
  • Shall be empowered to sign checks in the Treasurer and Presidents absence.

Secretary:
  • Keeps minutes of all General meetings and Board of Directors meetings.
  • Writes letters concerning club business as directed by the President and Board of Directors.

Treasurer:
  • Collects dues and fees as necessary.
  • Has charge of all funds and pays bills upon approval of Board of Directors and or membership.
  • Reports all receipts and expenditures at regular meetings.
  • Maintains a checking account in the club name and pays all bills of the club with checks from the account.
  • Makes a written report of all receipts and expenditures for the club at the end of his/ her term of office.

Sergeant of Arms:
  • Brings meeting to order.
  • Conducts voting for election of Officers by written ballot.
  • Presides over general well being of meetings.

Historian:
  • Shall collect and maintain all documents and photographs of club events and activities for the good of the club.

Article 9: Amendments
The By Laws may be revised or amended by a two thirds majority vote, provided that the proposed amendment has been submitted in writing to the general membership at least one meeting prior to the meeting at which it will be voted upon.

Article 10: Disciplinary Action
Any citizen or member may file a written complaint against a member for violation of Article 3 Section 5 or other serious allegations. The written charges will be delivered to the President. The President will review the complaint and deliver it to the Board of Directors and the Board will take action. Individuals involved in the charges will be allowed to address the Board of Directors before a final decision is made. The decision of the Board of Directors is final.

Article 11: Event Participation
Members and member vehicle participation in club events and cruises is encouraged and expected. Vehicles must follow strict safety guidelines when participating in club events such as cruising and/or car shows.

Article 12: Exit Plan
The designated charity(s) identified during the year the club ceases to exist will equally share in the disposition of club funds and assets. The Board of Directors of record will manage the final distribution.
